IN THIS GUIDE · Whether running a grain terminal is people management, function management or neither
Headcount proves nothing on its own
Managerial capacity is defined by what a person manages, not by how many people report to them. It is satisfied where somebody manages the organization, a department, a subdivision or a component of it, supervises and controls the work of other supervisory, professional or managerial employees, and exercises discretion over day-to-day operations. A first-line supervisor is not treated as acting in a managerial capacity merely because of those supervisory duties unless the employees supervised are professional. Forty hourly operators, supervised directly, can therefore weaken rather than strengthen a petition. Halina's better ground is the alternative branch: a person who manages an essential function of the organization at a senior level qualifies as managerial even without direct reports. Terminal throughput, blending and vessel loading is an essential function by any commercial reading, and the petition should say so in those terms.
Executive capacity is a different claim, and only one of them is true
Executive capacity means directing the management of the organization or a major component, setting goals and policies, exercising wide latitude in discretionary decision-making, and receiving only general supervision from higher executives, the board or shareholders. It is not simply a more senior version of managerial capacity. If Halina will report to a group chief operating officer who sets the annual plan, approves the capital budget and decides pricing, the honest claim is managerial rather than executive, and claiming the wrong one invites a request for evidence that the file cannot satisfy. Advisers see petitions asserting both at once, in the hope that one will be accepted. That approach reads as uncertainty about what the job is, which is precisely what an officer is looking for.
The relationship must exist on paper, and both companies must be trading
There has to be a qualifying relationship between the Canadian employer and the American entity - parent, branch, subsidiary or affiliate - and it must be demonstrable through share registers, incorporation documents and group structure charts rather than through a shared brand or a common family. Both entities also have to be doing business, meaning the regular, systematic and continuous provision of goods or services. An entity that merely holds title to an asset, or that exists as an office with an agent and no operations, does not meet that standard. Where the American elevator was bought through a holding vehicle, the chain from the operating company in Thunder Bay to the operating company across the border needs to be drawn out and evidenced at every link.
The qualifying year is a fact about the past that cannot be arranged later
Halina must have been employed abroad by the qualifying organization for one continuous year within the three years immediately before the petition is filed, and that year has to have been managerial, executive or specialized-knowledge employment. Short business trips or holidays in the United States do not break the continuity, but time actually spent working in the United States for the same employer does not count toward the year either. Two situations complicate a file like hers. If she has already been in the United States on assignment, the calendar has to be reconstructed carefully from payroll and travel records. If her Thunder Bay employer restructured and reissued her employment under a new corporate name, the continuity of the employer, not just of the person, has to be shown.
